Billing & Subscription

This Billing and Subscription Agreement ("Agreement") governs all billing, payment, subscription, renewal, and financial obligations related to the Services provided by Vexion.

This Agreement forms a legally binding contract between you ("Customer", "User", "you", or "your") and Vexion.

By purchasing, subscribing to, or using any paid Services, you agree to this Agreement.

Services are provided on a subscription basis unless otherwise specified.

Subscriptions may include recurring billing periods such as:

• Monthly
• Quarterly
• Annually

Subscription periods begin on the activation date.

You agree to pay all fees associated with the Services.

All fees:

• Are due in advance;
• Are payable in the specified currency;
• Exclude applicable taxes unless stated otherwise.

Vexion reserves the right to change pricing at any time with reasonable notice.

By providing payment information, you authorize Vexion to automatically charge your selected payment method for:

• Subscription fees;
• Renewal fees;
• Applicable taxes;
• Outstanding balances.

Authorization continues until Services are terminated.

Subscriptions automatically renew at the end of each billing period unless cancelled before renewal.

Renewal charges are billed automatically.

You are responsible for cancelling subscriptions prior to renewal.

If payment fails, Vexion may:

• Suspend Services immediately;
• Restrict access;
• Terminate Services;
• Charge late fees;
• Recover outstanding balances.

Vexion is not liable for losses resulting from suspension due to failed payment.

Services may be suspended immediately upon non-payment.

Suspension does not relieve payment obligations.

Vexion may terminate Services if payment remains unpaid.

Termination may result in permanent data loss.

You are solely responsible for maintaining backups.

All payments are non-refundable except where required by law.

Vexion may issue refunds at its sole discretion.

Refund eligibility does not apply to:

• Partial billing periods;
• Suspended accounts;
• Terminated accounts;
• Violations of policies.

Initiating a chargeback without valid legal grounds constitutes a material breach of this Agreement.

If a chargeback occurs, Vexion may:

• Suspend or terminate Services immediately;
• Recover chargeback fees;
• Recover administrative costs;
• Recover legal costs;
• Refer unpaid balances to collections.

You remain liable for all unpaid fees.

Billing disputes must be submitted within thirty (30) days of the billing date.

Failure to notify within this period constitutes acceptance of charges.

You are responsible for all applicable taxes.

Vexion may collect taxes where required by law.

Vexion may modify pricing at any time.

Changes apply to future billing periods.

You may cancel subscriptions at any time.

Cancellation prevents future billing but does not entitle you to refunds for prior charges.

Following termination or cancellation, Vexion may delete Customer data without liability.

You are responsible for exporting data prior to termination.

You agree to reimburse Vexion for costs associated with recovering unpaid balances, including:

• Collection agency fees;
• Legal fees;
• Administrative costs.

Vexion may suspend or terminate Services if fraudulent activity is suspected.

To the maximum extent permitted by law, Vexion is not liable for losses resulting from billing enforcement, suspension, or termination.

Payment obligations survive termination.

Vexion may modify this Agreement at any time.

Changes become effective upon publication.

Continued use constitutes acceptance.

This Agreement is governed by the laws of Queensland, Australia.

You submit to the exclusive jurisdiction of Queensland courts.
